THESE TERMS AND CONDITIONS OF SALE (“TERMS”) GOVERN YOUR PURCHASE OF OLLO PRODUCTS FROM THIS SITE, WHICH IS PROVIDED BY OLLO TECHNOLOGIES INC LLC. BY PLACING ORDERS FOR PRODUCTS FROM THIS SITE, YOU AGREE TO BE BOUND BY THE MOST CURRENT VERSION OF THE TERMS. THESE TERMS AND OTHER GENERAL TERMS ALSO APPLY TO ANY PURCHASE OF OLLO PRODUCTS FROM AN AUTHORISED RESELLER. THESE TERMS MAY BE CHANGED AT ANY TIME BY US. IF WE MAKE ANY CHANGES TO THE TERMS WE WILL INCLUDE A NOTICE ON THE WEBSITE. YOU ACCEPT THAT YOU WILL HAVE NO CLAIM FOR BREACH OF CONTRACT OR OTHERWISE IN RESPECT OF ANY SUCH ALTERATION.

INTERPRETATION

“We””, “us”, “our” means Ollo Technologies Inc LLC

“You”, “your” means the person ordering products under these Terms

1. ORDERS

1.1 All orders that you place on this site are attempted offers by you to purchase our products in accordance with these Terms. We may accept your offer by issuing a confirmation or by shipping products specified in your order.

1.2 You agree that we can make partial shipments on your order, in which case each shipment may be a separate transaction.

1.3 Our acceptance or partial acceptance of each offer is expressly subject to and conditioned on your agreement to these Terms. No other terms or conditions shall apply.

2.PRICES AND PAYMENT

2.1 All prices are in U.S. dollars unless otherwise stated.

2.2 Prices do not include taxes or charges for shipping and handling unless otherwise stated.

2.3 Applicable shipping and handling charges and any sales taxes that we are required by law to collect will be added to your required payment.

2.4 Payment in full is required before products will be shipped on any order.

3. SHIPPING AND HANDLING

3.1 You shall pay all shipping and handling changes specified during the ordering process unless otherwise notified by us.

3.2 We may ship the products partially in instalments pursuant to Clause 1.2. Shipping charges will be set those set out at the time you placed your order.

3.3 The products are at your risk of loss and damage upon transfer of the products to the carrier.

a) Delivery times are estimates only while we will endeavour to avoid delay, we shall not be liable to you for any loss or damage arising from delay in delivery.

4.CHANGES OR CANCELLATIONS

4.1 Any changes that you make to accepted orders prior to shipment may generate a new shipment and delivery date.

4.2 All sales are final upon shipment of the ordered products, except for authorized product returns pursuant to Clause 7 hereinunder.

4.3 You may cancel your order before shipment of the order is made by emailing support.us@ollotech.com with details. We will credit your payment card with the cost of the products and shipping charges within thirty (30) calendar days of the date of your cancellation.

5. DISCREPANCIES

If there are discrepancies (e.g. shortages, mislabeled product or overages) to your order, please contact customer service within five (5) calendar days of receipt of the product(s) at support.us@ollotech.com.

6. DEFECTIVE PRODUCTS

6.1 If the products you receive are defective or ‘dead’ on arrival (“DOA”), please contact customer service within ten (10) calendar days of receipt of the products at support.us@ollotech.com.

6.2 Provided you return the DOA:

6.2.1 in the original packaging;

6.2.2 bearing original OLLO codes; and

6.2.3 accompanied by warranty cards, accessories and documentation provided by the manufacturer we will credit your payment with the price of the DOA and shipping charges within thirty (30) calendar days of the date of return of the DOA.

DOA returns that do not comply with Clauses 6.2.1-6.2.3 will be subject to a minimum 50% restocking fee.

7.RETURN OF PRODUCTS

7.1 We will accept a return of products for any reason (other than DOA pursuant to Clause 6 above) within thirty (30) calendar days of receipt of the products by you (“30 Day Return Right”), PROVIDED THAT:

7.1.1 the products are returned unused, undamaged, and in their original condition and packaging;

7.1.2 you submit proof of purchase (an itemized, dated receipt) of the products direct from us;

7.1.3 you obtain a completed Return Merchandise Authorization (“RMA”) from us before returning the products and include the RMA number with the returned products; (RMA numbers may not be extended or re-issued) and

7.1.4 you follow all other return policies and procedures for the 30 Day Return Right prescribed in Clause 7 herein. We reserve the right to refuse any product returned under the 30 Day Return Right that does not meet criteria prescribed in this Clause 7.

7.2 All returns must:

7.2.1 be in the original packaging;

7.2.2 bear original OLLO codes; and

7.2.3 be accompanied by warranty cards, accessories and documentation provided by the manufacturer.

Returns that do not comply with Clauses 7.2.1-7.2.3 may be returned to you, or be subject to a minimum 20% restocking fee.

7.3 Non Returnable Products. Please note the following products cannot be returned:

7.3.1 Discontinued items;

7.3.2 Special order items; and

7.4 You may return products that are purchased directly from us for a credit or refund of the purchase price paid, less shipping, handling and applicable restocking fees. We must receive the returned products within fourteen (14) calendar days of the date the RMA number is issued to you pursuant to Clause 7.1.3. An assigned RMA number is valid for fourteen (14) calendar days only and will expire on the 15th day after the date of issuance. If you fail to return a product within the fourteen (14) day return period, the product shall be considered accepted by you and not returnable.

7.5 Returned products shall be shipped and delivered to us at your cost, unless the products are defective or damaged pursuant to Clause 6. We advise that you ship the product back to us via UPS or FedEx to ensure proper delivery. It is your responsibility to retain a sender’s copy of the shipment invoice and the shipment tracking number in the event of a lost shipment, until we have received the returned product.

7.6 Email your return shipment tracking number to support.us@ollotech.com. Please include “Shipment Notification: RMA# (please include your RMA# here)” in the email subject line and the returns shipment tracking number and the time of pickup in the email body.

7.8 Once the returned product is received and verified to meet all of the above conditions, allow thirty (30) calendar days from the date of our receipt of the returned product for the credit to appear on your payment card. We will not refund original or return shipping costs or duties. For inquiries regarding our return policy, email us at support.us@ollotech.com.

7.9 The 30 Day Return Right under this Clause 7 applies only to purchases of products made through the www.thekubeplayer.com online store.

8. LIMITED WARRANTY

8.1 Subject to the following provisions, we warrant that OLLO products purchased by you from this website or other sales sites will be free from defects in material and workmanship for six (6) months from the date of shipment, as determined by the date on the product’s packing slip (“Limited Warranty”).

8.2 This Limited Warranty extends only to the original end-user purchaser of the product and is not assignable or transferable to any other person.

8.3 This Limited Warranty does not cover:

8.3.1 any damage or loss that occurs after we place the product with the carrier for shipment;

8.3.2 any damage caused by normal wear and tear, abnormal use or conditions, neglect, abuse, misuse, accident, improper storage or handling, unauthorized modifications or repairs, improper use of any electrical source, undue physical or electrical stress, user error, or failure to follow product instructions;

8.3.3 any product with an altered or missing serial number or any counterfeit product;

8.3.4 any damage from external causes such as storm, flood, fire, dirt, sand, earthquakes, acts of God, exposure to sunlight, weather, heat, or corrosive environments, electrical surges, or third-party products; or

8.3.5 product fit or appearance other than failure to provide a product that is materially equivalent to the product description on the site.

8.4 We do not warrant that products will operate uninterrupted or be error free or that all product errors will be corrected. Our only liability under this Limited Warranty, whether in tort, contract, or otherwise, and your sole and exclusive remedy, will be, at our option, to repair or replace the products or refund the amount paid for products returned to us, less a prorated amount for any period of problem-free use. The prorated amount will be based on the expected life of the product.

8.5 Replacement products may include refurbished OLLO products that have been certified to conform to the original product descriptions. If we elect to repair any defective product and are unable to do so after a reasonable number of attempts, we will provide you a replacement product or will refund your purchase price less a prorated amount for any period of problem-free use.

8.6 In no event shall our liability exceed the amount you paid for the product, less a prorated amount for any period of problem-free use, regardless of the form of action or the theory of liability.

8.7 We have no liability to pay for any repairs performed by anyone other than us, unless in each instance we have given written approval for such repairs. Any unauthorized attempt to repair products will void our warranty on the product(s). For any product(s) you purchase from us that are covered by another manufacturer’s warranty, your warranty is limited to that warranty. In such event, we will reasonably assist you, upon written request, to place a warranty claim with the manufacturer.

8.8 This Limited Warranty shall be in lieu of all other warranties, express, implied, and statutory, and we expressly disclaim any and all such warranties, including without limitation the implied warranties of merchantability and fitness for a particular purpose. We will under no circumstances be liable for any special, indirect, incidental or consequential loss or damage resulting from the use of any products that you purchase from us, regardless of the form of action or the theory of liability and even if we are aware of the possibility of such damages. The limitations contained in this “Limited Warranty” section shall apply even if any remedy fails of its essential purpose.

9. WARRANTY RETURNS

9.1 We will also accept return of products if we determine that the products qualify for a warranty return under our Limited Warranty pursuant to Clause 8 above, PROVIDED THAT you comply with return procedures prescribed in Clause 7.1.1-7.1.3.

9.2 You may return only the products under Limited Warranty. We are not responsible for any other products, accessories, or items not under warranty that you return with the products under warranty.

9.3 If applicable and wherever possible, make a backup of any data stored on the product. We are not responsible for loss of any data stored on a returned product.

9.4 All returns under this Clause 9 must:

9.4.1 be in the original packaging;

9.4.2 bear original OLLO codes; and

9.4.3 be accompanied by warranty cards, accessories and documentation provided by the manufacturer.

9.5 Returns that do not comply with Clauses 9.4.1-9.4.3 may be returned to you, or be subject to a minimum 20% restocking fee.

9.6 Returned products shall be shipped and delivered to us at your cost, subject to reimbursement upon completion of the Limited Warranty service pursuant to Clause 8.4. We advise that you ship the product back to us via UPS or FedEx to ensure proper delivery. It is your responsibility to retain a sender’s copy of the shipment invoice and the shipment tracking number in the event of a lost shipment, until we have received the returned product.

10.HEARING LOSS RELATED CLAIMS

10.1 Users are advised to be aware that permanent hearing loss may occur if earphones or headphones are used at inappropriate volumes. Exposure to noise from earphones or headphones in excess of 85 decibels for more than eight hours a day will likely cause irreparable hearing damage. You may adapt to a higher volume of sound over time, which may sound normal but can be damaging to your hearing. You accept all responsibility for hearing damage resulting from the unsafe use of earphones or headphones purchased on this site above 85 decibels.

10.2 You accept all responsibility for any and all damage or medical conditions that may result from the use of earphones or headphones purchased on this site. We shall have no liability for any such damage or medical conditions.

10.3 You agree to defend and indemnify us, our subsidiaries, affiliates, licensors, content providers, service providers, employees, officers, directors, agents, and contractors (collectively, the “Indemnified Parties”) against, and hold the Indemnified Parties harmless from, any and all claims, actions, causes of action (regardless of the form of action or the theories of liability); losses; actual, direct, indirect, special, punitive, exemplary, incidental, consequential, and other damages, including but not limited to loss of revenue or income, pain and suffering, and/or emotional distress; and awards, judgments, fines, costs, expenses, and attorneys’ fees, including but not limited to those of the Indemnified Parties (any of the foregoing, a “Claim”), arising from or otherwise relating to any hearing loss or damage and/or any of the other serious medical conditions referenced in the preceding paragraph and/or arising from or otherwise relating to the use of earphones or headphones purchased by you on www.thekubeplayer.com. You will agree that the Indemnified Parties will have no liability in connection with any such damage, injury, conditions, or Claims, and you will agree not to bring any legal or other actions or proceedings against or otherwise hold any Indemnified Party liable or responsible for any such damage, injury, conditions, or Claims.
